This SMSC Hackathon Participation Agreement (“Participation Agreement”) constitutes a legally binding contract between Participant of Hackathon (“Participant”) and Shakopee Mdewakanton Sioux Community, with its principal place of business at 2330 Sioux Trail NW, Prior Lake, MN 55372, USA, acting on behalf of Shakopee Mdewakanton Sioux Community (cumulatively referred to as “SMSC”) and applies to all aspects of participation in the SMSC Hackathon (“Hackathon”) and access to all materials, websites, platform associated with the Hackathon.
By applying and/or participating in the Hackathon, Participant agrees to this Participation Agreement. Please read it carefully.
The Final Product is the final product of the Hackathon that will be presented by Participant alone or together with other Participants in any form including but not limited to a concept, design, blueprint, prototype, product, application, software, hardware, source code, structure, layouts, graphical images or video, presentation, data, programs, technical documentation or any other relevant content subject to protection by intellectual property laws. The Final Product includes all work-in-progress.
SMSC IP Rights include, without limitation, any ideas, concepts, know-how, data processing techniques, copyrights, patents, designs, inventions, trade secrets, software, source code and documentation, notes, memorandum, and any other intellectual property rights provided by SMSC to Participant in order to support them or their team during Hackathon.
SMSC Materials are all and any materials, documentations, data, content, or code provided by or on behalf of SMSC in connection with the Hackathon.
1.1. The aim of the Hackathon is to create Dakota language keyboard applications for mobile devices using iOS and Android operating systems.
2.1. Applications must be submitted to https://hocokatati.org/hackathon/ by 10/15/2024. Participants can enter the competition at any point before 10/15/2024.
2.2. Application development will be done independently by Participant or as a team of Participants.
2.3. Winners will be announced in November.
2.4. Awards will be presented at Hoċokata Ti, 2300 Tiwahe Circle, Shakopee, MN 55372 on a date to be determined.
3.1. Applying to the Hackathon is open to all (“Applicant”). Anyone who is not 18 years old at the time of registration must complete the Parental/Legal Guardian Consent Amendment to this document. Applicant becomes a Participant when they have completed the registration process.
3.2. SMSC employees and contractors are eligible to participate in the Hackathon as well as non- employees as long as they are under no outside obligations conflicting with the participation rules.
3.3. Applicants must apply as an individual or as a team.
3.4. If you are a SMSC employee you MUST have the approval of your manager to use ANY SMSC resource, including your work hours.
4.1. Registration to the event is carried out online at https://hocokatati.org/hackathon/
4.2. If Applicant wishes to sign up for the Hackathon and become a Participant, Applicant must complete the online registration form. All Applicants accept and become parties to this Participation Agreement with submission of their registration forms.
4.3. Applicant guarantees that the personal information provided upon registration to SMSC is true and accurate.
4.4. SMSC reserves the right to accept or reject any Applicant to the Hackathon with or without reason at its sole discretion. Each accepted Applicant will receive notice from SMSC confirming Applicant’s registration and converting Applicant to Participant of the Hackathon under this Participation Agreement. Rejected Applicants may or may not receive notice from SMSC at its sole discretion.
5.1. Winning Participant or team shall be chosen according to the votes by the panel of judges and based accuracy, ease of use, ease of maintenance, and aesthetic appeal. All decisions of the judges are final.
5.2. The prize for winning team is as follows:
iOS Application Grand Prize – $700
Android Application Grand Prize – $600
Participant Prizes – Participants may receive other prizes and incentives at the discretion of SMSC.
5.3. Participant acknowledges and agrees that SMSC shall have no liability whatsoever on how the prize/compensation will be split up between winning Participant and/or their winning team.
6.1. Each Participant undertakes and warrants that the Final Product (ideas/solutions/MVP) has never been previously presented at other Hackathons or submitted to other third parties as well as that it was completely created during the Hackathon by Participant alone or in conjunction with their team. In other words, Participant is committing that the Final Product and all submissions are the original creation of Participant (and, if applicable, their team) and not the result of copying or including any third-party components (including, without limitation, any so called “open source” or “public domain” software).
6.2. By participating in the Hackathon and accepting this Participant Agreement, Participant agrees to indemnify SMSC (its representatives, employees, assignees) and to hold it harmless against any loss, liability, damage, or expense suffered or incurred as a result of breach of this Participant Agreement.
6.3. Winning Participants agree that the Final Product constitutes a “work made for hire” for SMSC owned by SMSC. Winning Participant hereby assigns to SMSC all right, title and interest in the Final Product, including all intellectual property rights therein (to the extent not owned by SMSC as a work-for-hire or otherwise), and waive any so-called “moral rights” to the extent permitted by law. The winning Participant agrees to execute and deliver to SMSC such additional documents as requested by SMSC to enable SMSC to register or enforce its rights in the Final Product. No additional compensation shall be payable to Participant or any third party by SMSC in respect of such license.
7.1. This Agreement shall be governed and interpreted pursuant to the laws of the Shakopee Mdewakanton Sioux Community, without regard to conflicts of laws rules. The execution and delivery of the Agreement has occurred on lands within the jurisdiction of the Community. The Community’s Tribal Court has exclusive jurisdiction over any disputes that may arise under the terms of this Agreement. Nothing in this Agreement shall be construed to limit, modify, or waive the Community’s sovereign rights.
8.1. Participant gives consent to use of Participant’s name and/or Participant team’s name, as well as, biographical information, and mention of the nature of participation in the Hackathon for advertising, promotional activities, trade, public announcements, and other oral communications, media events, or other marketing opportunities on SMSC’ websites, social networks or through other electronic communications such as emails to SMSC customers, newsletters, or in materials that SMSC otherwise makes publicly available, and through any other channels to promote the use of SMSC Materials and Participant Final Product, and other purposes, without further notification, permission, or compensation. Participant acknowledges and agrees that SMSC is under no obligations to publicize Participant’s participation in the Hackathon.
8.2. At any time, at the sole discretion SMSC reserves the right to disqualify a Participant in the event of failure to meet relevant eligibility criteria that may be set by SMSC from time to time or any other violation or suspected violation of this Participant Agreement or other Hackathon rules.
8.3. This Participation Agreement, together with any Hackathon registration forms and rules that may be provided or communicated to Participant by SMSC in any form, represent the Participant’s entire agreement with SMSC with respect to the Hackathon.
8.4. All terms and rules are subject to change at SMSC’s discretion. From the date of registration through the Hackathon date, and no later than the Hackathon date, all Participants must periodically review the Hackathon website for any modifications or amendments to this Agreement.
SMSC is dedicated to providing a harassment-free experience for everyone, and we do not tolerate harassment of Participants in any form. Participants agree to be professional and respectful to all other Participants. Participants violating these rules may be sanctioned or expelled from the event at the discretion of the Hackathon SMSC.
Harassment includes offensive verbal comments related to gender, gender identity or expression, sexual orientation, disability, physical appearance, body size, race, religion, sexual images in public spaces, real or implied violence, intimidation, oppression, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention. Participants asked to stop any harassing behavior are expected to comply immediately. If a Participant engages in harassing behavior, representatives of the Hackathon may take any action they deem appropriate, including warning the offender or expulsion from the event. If you are being harassed, notice that someone else is being harassed, or have any other concerns, please contact a representative of the Hackathon immediately. A representative of the Hackathon will help Participants address concerns. All reports will be treated as confidential. Participants are strongly encouraged to address issues privately with any representatives of the Hackathon and are encouraged to avoid disclosing information about the incident until the representatives of the Hackathon have had sufficient time in which to address the situation. Please also keep in mind that public shaming can be counterproductive. SMSC does not condone nor participate in such actions.
PARTICIPANT CONSENT
I have read and fully comprehend the Participation Agreement above. I hereby certify that I will abide by The Participation Agreement and understand that violating the Participation Agreement may result in being disqualified.
PARENTAL/LEGAL GUARDIAN CONSENT AMENDMENT
The following is a Parental/Legal Guardian Consent to permit a person under the age of 18 (“minor”) to participate in the SMSC Hackathon. This form must be completed in its entirety and signed by a parent or legal guardian in order for the minor to participate in the Hackathon.
Participants under 18 years of age MUST be accompanied by an adult chaperone to the ceremony. The mandatory chaperone/minor ratio is no more than 1:5. Groups of minors exceeding 5 should have multiple adult chaperones.

I hereby certify that I will abide by The Participation Agreement and understand that violating the Participation Agreement may result in being disqualified. By checking the box below, my parent/guardian also agrees to abide by the Participation Agreement and confirms that I have authority to commit to the terms, assignments, and licenses above.
